Setup Google Analytics for IB.COM

I think you'll need to do that since you own the DNS. But once you do that I think you can share the access with me. Not that I expect many hits yet but we should start to see some over time.

Get device/devices for Mr. B

He'll want to be able to test, what devices can we get him or instruct him to acquire? Maybe just start with the WP device at first.

2.2 Licensee agrees to properly credit Licensor in its use of FiveByFive. Specifically, the name of the Licensor (Inventor – Jeffrey Neil Bellinger) must be included: a) on the cover screen and within each copy of the rules of the game, b) must be credited on each piece of merchandise unless otherwise agreed to in writing.

We might need to work out exact what this means. Should we mock up a couple screens so we have something to start discussing?

2.5 Licensor shall retain final approval on all text and design of FiveByFive. In addition, although the Licensee is free to design the interface and play components, all decisions relating thereto will be subject to approval by the Licensor. The wholesale price of the games shall be subject to consultation with the Licensor.

So we'll need to get approval for design. Not amazing, but I think I can live with that. The "wholesale price" of games is just subject to consultation. I think that leaves us with still final say.

3.3 Licensee shall provide a space on its commercial website for the public to download the rules for the FiveByFive game. On such website, Licensee shall designate Licensor (Jeffrey Neil Bellinger – Inventor) as the inventor of the game and allow for photos, biography and a link to Licensor’s website. All materials related to this provision shall be provided by Licensor to facilitate Licensee modifying its website.

I'm not sure how relevant. I'd lean towards pointing toward the physical production companies website for rules/etc. They might differ slightly for whatever reason, etc.

5.1 The Licensor shall receive a license fee of Fifty Percent (50%) of the invoice value of sales by the Licensee, of all FiveByFive games. The Licensor shall also receive a license fee of Fifty Percent (50%) of gross revenues of any merchandise produced and sold by third parties which has been approved in writing by Licensor.

Since there isn't an invoice value we might need to reconsider how to work this. I feel like it's just a matter of physical vs. digital.

5.2 In order for the Licensee to retain the license granted herein, the Licensee must pay to the Licensor a minimum of One Hundred Dollars ($100) per year, which includes the revenues pursuant to the percentages of invoice sales as delineated in 5.1 hereby.

I'd ask for the terms to continue throughout 2015 before this clause takes effect. But if we release without least a quarter or more left in the year and we don't earn back $100, then we're not something right. So it might not be a big deal.

5.3 Licensee shall pay royalties on a quarterly basis and shall provide therewith a detailed accounting of such sales and royalty fees paid.

I don't feel like this a problem.

5.4 Licensee agrees that it will keep, during the Term and for one (1) year after the expiration or termination of this Agreement, correct and complete books and records regarding its sales of FiveByFive products and royalty payments made or owed. Such books and records shall be in sufficient detail to establish the accuracy of royalty statements sent to Licensor by Licensee. Licensor or its authorized representatives shall have the right to inspect, copy and audit at reasonable times (but not more than once during any calendar quarter), and upon reasonable advance notice to Licensee, both during and after the Term, such books and records or other documents. Any inspection or audit shall be paid for by Licensor. In the event that the inspection or audit shows that Licensee has under-reported sales, and/or underpaid royalties by ten percent (10%) or more for any year, then Licensee shall pay to Licensor within fifteen (15) days after receipt of the audit report, the deficiency in the Royalty payment as well as all costs associated with the audit.

I feel like this can be simplified but if we just provide a quarterly report or monthly reports for the quarters in question to Mr. B with the payment, I expect it won't ever come up.

5.5 The Licensee shall pay for the reasonable transportation to and from and lodging for those occasions when the Licensor is requested to accompany the Licensee to trade shows, conventions and meetings. (See #3.1)

I'm not sure this will matter for us.

7.1 This Agreement is valid as of the date it is executed by both the Licensee and Licensor and shall be in force initially for a period of Five (5) years. At the conclusion of these periods, the license shall be extended from year to year, subject to the Licensor’s right to negotiate or terminate the agreement.

Five years is more than I think we NEED. but we need to reconcile this and 5.2.

Not related to a section, but if either of us signs it, we need to sign with a title. What the title is ideally we can hash out with the operating agreement. But with title binds to the LLC; without title binds to the person personally.

Speaking/marketing

For conferences that we speak at and get employers to pay for, maybe we can get "IB" as a sponsor if they have like a mini-sponsor level. Just to get some awareness when we're ready.

Beta Tester List

Maybe we should have a google docs or other thing out there to collect email address for people who are interested in beta testing.

IB Logo

the "[IB]" I think is a fine place to start, but we might want it professionally (or more professionally) done at some point in the future.

Color pallette

For all the branding/marketing stuff we should likely have a color palette. I'm sure there's some thought to put into this but the light grey of the logo currently doesn't pop awesomely, so we'll want to think about that.

Worker placement in colony ship

I've been thinking about the idea of a worker placement game that's in a colony ship/generation ship travelling to a new world. Basically trying to setup your ship to most effective by the time you reach the destination. Each round you get more information about the destination and that information more or less breaks down how effective your actions are towards the final score.

Adding role on LinkedIn

When we add the role to our LinkedIn profiles we can make a little fan fare out of it. Maybe when the website is ready announcing a coming game or something.

Scavenger hunt

Weekly a list of say 5 items appears and people are suggested to find and upload pictures of each of the five items. The following week the entries are voted on and you get points for wining.
